HUNTSVILLE, Ala. - (February 2, 2022)— Adtran®, Inc., (NASDAQ: ADTN),the leading provider of next-generation multigigabit fiber access and fiber extension solutions, today announced it is helping Cookson Hills Electric Cooperative (CHEC) build its own fiber broadband network to reach underserved homes and businesses in rural Oklahoma. CHEC chose a portfolio of Adtran’s end-to-end fiber broadband solutions to deliver reliable, affordable internet that will support its community’s broadband needs today and is easily scalable to support their future demands and new applications.
Even before the COVID pandemic, only half of CHEC’s electric members had email access and even fewer were able to access any form of reliable internet from their homes. The need for connectivity intensified during work-from-home and remote learning periods, leaving many residents with no other choice but to move away to communities that offered high-speed broadband. There was an obvious and critical need for better infrastructure, so CHEC committed to build it. The co-op was awarded $4M through the Rural Digital Opportunity Fund (RDOF) bidding process and worked with their expert partners to build the best fiber network to fit the community’s need.
CHEC found Adtran through Conexon, a rural fiber network design and construction management partner. HUNTSVILLE, Ala. - (January 28, 2022)— Adtran®, Inc., (NASDAQ: ADTN), Adtran, Inc. today announced that as of the end of the initial acceptance period on January 26, 2022 (midnight Central Europe Time (CET)), the voluntary public takeover offer (exchange offer) by Acorn HoldCo, Inc. to all shareholders of ADVA Optical Networking SE has been accepted by more than 60% of all shares of ADVA Optical Networking SE entitled to voting rights existing as of October 31, 2021, thus exceeding the required minimum acceptance threshold.

According to the rules of the German Securities Acquisition and Takeover Act (WpÜG), ADVA shareholders who did not tender their shares during the initial acceptance period can do so during a two-week additional acceptance period beginning on Tuesday, February 1 and ending at midnight CET Monday, February 14, 2022.
The final result of the exchange takeover offer as at the end of the acceptance period is expected to be published on Monday, January 31, 2022.

HUNTSVILLE, Ala. - (January 24, 2022)— Adtran®, Inc., (NASDAQ: ADTN),Adtran, Inc. today announced that the proposed business combination of Adtran and ADVA Networking SE has reached a key U.S. regulatory milestone. In connection with the Business Combination Agreement, Adtran and ADVA made a joint, voluntary filing with the Committee on Foreign Investment in the United States (CFIUS) concerning the transaction. On January 20, 2022, Adtran and ADVA received notice from CFIUS that it had completed its review of the transaction and determined that the transaction was not a “covered transaction” subject to CFIUS’ jurisdiction. Accordingly, Adtran and ADVA have met the requirement under the Business Combination Agreement related to CFIUS notification. This is yet another key regulatory milestone that the business combination has reached. Cooperative proceedings continue with the foreign direct investment authorities in Germany and the UK.

HUNTSVILLE, Ala. - (January 6, 2022)— Adtran®, Inc., (NASDAQ: ADTN),oday announced that its stockholders have approved the business combination with ADVA Optical Networking SE by an overwhelming majority. In a Special Meeting of Stockholders held earlier today, a quorum was achieved with 85% of Adtran’s outstanding shares represented. Of the voted shares, over 99% were voted in favor of the transaction.
Today’s announcement is the latest milestone towards a successful closing. The transaction has already been approved unanimously by the Adtran Board of Directors, approved by the ADVA Management and Supervisory Boards, who also have recommended to ADVA shareholders to accept the offer. The transaction has also received the strong support of ADVA’s largest shareholder, Egora, which entered into an irrevocable commitment to tender into the offer shares representing 13.7% of ADVA’s outstanding shares, and received clearance or confirmation that public review was not needed by all required antitrust organizations.
The next major milestone will be the close of the initial acceptance period for the tender of ADVA shares at midnight (CET) on January 12, 2022, and for the combination to be successful, at least 70% of the ADVA shares must be tendered by this time. Adtran stockholders who have submitted proxies to date have overwhelmingly voted in support of the business combination, as well as for the other proposals to be voted at the Special Meeting of Stockholders.
